1. ABOUT THESE TERMS
These Terms of Service (“Terms”) govern the use of the Super Directories website, directory, membership services and associated features provided by Super Directories Ltd (“Super Directories”, “we”, “us” or “our”).
By creating an account, purchasing a membership, submitting or claiming a business profile, or otherwise using our services, you agree to these Terms.
Please read them carefully before purchasing a membership or using the platform.
For the purposes of these Terms, a business or person purchasing a business membership or operating a business profile may be referred to as a “Member”, “you” or “your”.
Super Directories is primarily a platform for independent businesses, sole traders, self-employed professionals and other organisations wishing to promote their businesses and connect with people looking for local products and services.
2. ABOUT SUPER DIRECTORIES
Super Directories is an online business directory and visibility platform designed to help independent businesses become more visible, more valued and more celebrated.
We provide Members with the opportunity to create and maintain a business profile and, depending on the membership selected, access additional profile, promotional, visibility and community features.
Super Directories provides a platform through which businesses and potential customers can discover and connect with one another.
We are not a party to transactions entered into between Members and their customers.
3. ELIGIBILITY & BUSINESS USE
You must be at least 18 years old and legally capable of entering into a binding contract to purchase a membership.
Where you purchase a membership on behalf of a company, partnership or other organisation, you confirm that you have authority to enter into these Terms on its behalf.
Our business memberships are intended for people and organisations acting for purposes relating to their trade, business, craft or profession.
You are responsible for ensuring that your business and any products or services you advertise through Super Directories comply with applicable UK laws, regulations and professional requirements.
We reserve the right to decline membership applications where we reasonably believe that a business is unsuitable for the platform, unlawful, misleading, fraudulent or inconsistent with our Acceptable Use Policy.
4. MEMBERSHIP PLANS
The features included with your membership will be those described on the Super Directories website at the time you purchase your membership, subject to these Terms.
Different membership plans may provide different levels of functionality, visibility, support or promotional opportunities.
Unless otherwise stated at the point of purchase, memberships are provided on an annual basis.
Membership prices are displayed on our website before purchase.
We may introduce, withdraw or change membership plans and prices from time to time. Any changes affecting an existing Member will be dealt with in accordance with these Terms and any specific pricing commitment made when that Member joined.
5. FOUNDING MEMBERSHIP PRICING
Where you purchase an eligible Founding Super Hero or Featured Founding Super Hero membership during our Founding offer, the applicable Founding annual membership price offered to you will remain available for as long as your membership remains continuously active and renews in accordance with these Terms.
This is what we mean when we describe a Founding membership price as being “locked for life”.
The price lock applies to the applicable annual membership price and does not necessarily apply to optional services, add-ons, separately purchased products or future services that were not included within your membership when purchased.
To retain your Founding membership price, your membership must remain continuously active.
If you cancel your membership, allow it to expire or lapse, or fail to make a renewal payment when due and the membership consequently ends, your Founding price may be lost.
If you subsequently decide to rejoin Super Directories, membership will normally be offered at the prices and on the terms available at that time.
Nothing in this section prevents Super Directories from making reasonable changes to the platform or membership features in accordance with these Terms.
6. PAYMENT
You agree to pay the membership price and any other charges clearly disclosed to you before purchase.
Payments are processed using the payment methods made available through our website.
You are responsible for providing accurate and current payment information.
Unless otherwise stated, prices displayed to you will be the total price payable for the relevant service, subject to any applicable taxes or charges clearly disclosed before payment.
If a payment is declined, reversed or otherwise unsuccessful, we may suspend or restrict access to paid membership features while the payment issue is resolved.
7. AUTOMATIC RENEWAL
Where you purchase a membership that is stated at checkout to renew automatically, your membership will renew at the end of each annual membership period unless it is cancelled before the renewal date in accordance with these Terms.
Your payment method may therefore be charged automatically for the next membership period.
For Members benefiting from an eligible Founding price lock, renewal will be at the applicable locked Founding membership price provided the membership has remained continuously active and the conditions of the Founding offer continue to be met.
For other memberships, the renewal price will be the price applicable to that membership in accordance with the information and notice provided to you.
You are responsible for keeping your payment details up to date.
You may cancel future renewal in accordance with Section 8 below.
8. CANCELLING YOUR MEMBERSHIP
You may cancel your membership so that it does not renew for a further membership period.
Unless we expressly state otherwise, cancellation prevents the next renewal and does not retrospectively cancel the membership period you have already purchased.
Your profile and applicable membership benefits may therefore remain available until the end of your current paid membership period.
Once that period ends, your paid membership benefits may cease and your profile may be removed, restricted, downgraded or otherwise treated in accordance with the options available on the platform at that time.
Where cancellation results in the end of a Founding membership, the Founding price lock may also be lost.
Instructions for cancelling may be provided through your account or by contacting Super Directories using the contact details published on our website.
9. REFUNDS
Except where required by law, membership fees are not refundable simply because you change your mind after the service has commenced, decide not to use your membership, receive fewer enquiries than expected or do not achieve a particular commercial result.
Nothing in these Terms limits any refund, cancellation or other rights that you are legally entitled to and which cannot lawfully be excluded.
Where Super Directories agrees to provide a refund outside any legal entitlement, that refund will be at our discretion and does not create an obligation to provide equivalent refunds in other circumstances.
10. PROFILE SET-UP SERVICES
Some membership plans, promotions or special offers may include complimentary or discounted assistance with setting up your Super Directories profile.
Where profile set-up assistance is provided, you remain responsible for checking and approving the information displayed on your profile.
You must provide us with accurate information and any photographs, logos, text or other materials reasonably required to complete the profile.
Profile set-up assistance does not transfer responsibility for the accuracy, legality or ownership of the information or materials supplied by you.
Any stated monetary value attached to a complimentary profile set-up service is an indication of the normal or intended standalone value of that service and is not redeemable for cash unless expressly stated otherwise.
11. YOUR BUSINESS PROFILE
You are responsible for ensuring that information displayed on your business profile is accurate, current and not misleading.
Depending on the features available under your membership, your profile may include information such as your business name and description; contact information; photographs, videos or other media; products and services; opening hours; location information; website and social media links; customer reviews or testimonials; offers, promotions, coupons or rewards; events; and other business information.
You should update your profile when information about your business changes.
We may edit formatting, correct obvious technical or typographical issues, categorise content or make minor presentation changes where reasonably necessary to operate the directory effectively.
We will not knowingly make material changes to the substance of your business information without reasonable justification.
12. CONTENT YOU PROVIDE
You retain ownership of original content that you submit to Super Directories.
By uploading or providing content to us, you grant Super Directories a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, resize and otherwise use that content to operate your profile, provide the Super Directories service, display your business within directory searches and categories, promote Super Directories and its Members, and provide promotional opportunities that form part of your membership or that you have otherwise agreed to participate in.
This licence lasts for as long as reasonably necessary to provide the relevant services and, where appropriate, for a reasonable period afterwards for legitimate archival, legal or administrative purposes.
You confirm that you own the content you provide or have all necessary permissions to allow us to use it in this way.
You must not upload material that infringes another person's copyright, trade mark, privacy, data protection or other legal rights.
13. SUPER DIRECTORIES PROMOTIONS
Certain membership plans may include eligibility or priority consideration for promotional opportunities provided by Super Directories.
Unless a membership benefit expressly guarantees a specific placement, feature or promotion, eligibility or priority consideration does not guarantee that a Member will appear in any particular campaign, publication, social media post, email, homepage feature or other promotional activity.
Promotional opportunities may be limited and may depend on suitability, timing, available space, campaign theme, geographic relevance and other reasonable editorial considerations.
14. REVIEWS
Super Directories may allow customers or other users to submit ratings and reviews relating to businesses appearing on the platform.
Reviews represent the views of the person submitting them and not necessarily the views of Super Directories.
We do not guarantee that every review is accurate.
We may remove or restrict reviews that we reasonably believe are fraudulent, unlawful, abusive, defamatory, irrelevant, misleading, spam, submitted in bad faith or otherwise breach our policies.
A Member must not submit, purchase, arrange or encourage fake reviews or manipulate the review system.
Where appropriate, Members may be given an opportunity to respond to reviews.
15. OFFERS, COUPONS, REWARDS & PROMOTIONS
Members may be able to publish offers, coupons, rewards, discounts or other promotions through their profiles.
The Member publishing an offer is responsible for ensuring that the offer is accurate, all material terms and restrictions are clearly stated, any expiry date is correct, the promotion complies with applicable law, and the offer is honoured in accordance with its published terms.
Unless the offer is expressly made by Super Directories itself, Super Directories is not the provider of the offer and is not responsible for fulfilling it.
We may remove expired, misleading, unlawful or inappropriate offers.
16. EVENTS
Where Members are able to publish events, the Member or event organiser is responsible for the event and for the accuracy of the information supplied.
Unless Super Directories is expressly identified as the organiser, displaying an event on the platform does not mean that Super Directories organises, endorses or accepts responsibility for that event.
17. CONTACT BETWEEN USERS & MEMBERS
Super Directories may provide functionality allowing visitors to contact Members directly.
We do not guarantee that messages will result in a response, enquiry, booking or transaction.
Members are responsible for responding appropriately to enquiries and for handling personal information received from potential customers in accordance with applicable data protection law.
18. NO GUARANTEE OF BUSINESS RESULTS
Super Directories provides a platform designed to help independent businesses improve their online presence, visibility and opportunities to be discovered.
However, many factors affecting business performance are outside our control.
Accordingly, we do not guarantee any particular number of profile views, enquiries, leads, customers, bookings, sales, revenue or other commercial results.
We also do not guarantee any particular position or ranking on Google or any other search engine.
Search-engine rankings and algorithms are controlled by third parties and may change at any time.
Any examples, testimonials, case studies, training or marketing information relating to business visibility or results should not be interpreted as a guarantee that you will achieve the same outcome.
19. RELATIONSHIP BETWEEN MEMBERS & CUSTOMERS
Super Directories helps people discover independent businesses.
Unless expressly stated otherwise, we do not sell or provide the products or services advertised by Members.
Any contract for goods or services is made directly between the customer and the relevant Member.
Members are solely responsible for their own products and services, prices, quotations, bookings, contracts, customer service, licences and professional qualifications, insurance, refunds, guarantees, tax obligations and compliance with applicable law.
Users should make their own enquiries before engaging a business.
A profile appearing on Super Directories should not be interpreted as a guarantee by us of that Member's workmanship, products, financial standing, qualifications or suitability unless we expressly state that a particular verification has been carried out.
20. ACCEPTABLE USE
You must use Super Directories lawfully and responsibly.
You must not use the platform to publish, distribute or promote content that is unlawful or fraudulent; deliberately false or misleading; infringes intellectual property rights; is defamatory, threatening, abusive or harassing; unlawfully discriminates against another person; contains malicious software or harmful code; promotes illegal goods, services or activity; contains unauthorised personal information about another person; constitutes spam or deceptive marketing; or otherwise materially harms Super Directories, its Members, users or reputation.
Further requirements may be contained in our separate Acceptable Use Policy, which forms part of these Terms.
21. SUSPENSION & TERMINATION
We may suspend, restrict or terminate a membership or remove content where we reasonably believe that these Terms have been materially breached; payment remains overdue; a profile contains unlawful, fraudulent or seriously misleading information; a Member poses a material risk to users or the platform; the platform is being misused; continued provision of the service would expose Super Directories to legal or regulatory risk; or we are legally required to do so.
Where appropriate and reasonably practicable, we will give you an opportunity to remedy a breach before terminating your membership.
Serious breaches may result in immediate suspension or termination.
Termination resulting from a Member's material breach does not automatically entitle the Member to a refund.
22. THIRD-PARTY WEBSITES & SERVICES
Super Directories profiles may contain links to websites, social media platforms, maps, payment providers or other services operated by third parties.
We do not control those third-party services and are not responsible for their content, availability, privacy practices or security.
The inclusion of a link does not necessarily constitute endorsement by Super Directories.
Your use of third-party services may be subject to separate terms and privacy policies.
23. INTELLECTUAL PROPERTY
The Super Directories name, branding, logo, website design, original written content and other intellectual property belonging to Super Directories Ltd remain our property or that of our licensors.
Nothing in these Terms transfers ownership of our intellectual property to you.
You may not copy, reproduce, sell, license or commercially exploit substantial parts of the Super Directories platform or our proprietary content without our prior written permission, except where permitted by law.
24. PLATFORM AVAILABILITY & CHANGES
We aim to provide a reliable and useful service, but we cannot guarantee that the website or every feature will always be available without interruption or error.
Maintenance, security issues, technical failures, third-party services and circumstances outside our reasonable control may occasionally affect availability.
We may update, improve, replace or discontinue individual platform features where reasonably necessary.
Where a change would materially reduce the core paid service being provided to existing Members, we will take reasonable steps to communicate the change and deal with affected Members fairly.
25. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to the above, Super Directories will not be responsible for indirect or consequential business losses arising from use of the platform, or for losses caused by matters outside our reasonable control.
We are not responsible for the acts, omissions, products, services, statements or conduct of Members or other third parties appearing on or linked through the platform.
Where you use Super Directories in the course of a business, our total liability to you arising out of or in connection with your paid membership will, to the fullest extent permitted by law, normally be limited to the total membership fees you paid to Super Directories during the 12 months immediately preceding the event giving rise to the claim.
Nothing in this section affects rights or remedies that cannot lawfully be limited or excluded.
26. PRIVACY & DATA PROTECTION
We process personal information in accordance with our Privacy Policy and applicable UK data protection law.
You are responsible for complying with applicable data protection requirements in relation to personal information you obtain through your own business or through enquiries received via Super Directories.
Please read our Privacy Policy for further information about how we collect, use and protect personal information.
27. COMMUNICATIONS
We may contact you using the contact details associated with your account regarding your membership, payments, renewals, important service information, security matters or changes affecting the platform.
Marketing communications will be handled in accordance with applicable law and our Privacy Policy.
You are responsible for keeping your contact details current.
28. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to our services, business practices, technology or legal and regulatory requirements.
The latest version will be published on the Super Directories website with an updated revision date.
Where a change materially affects an existing paid membership, we will take reasonable steps to notify affected Members before the change takes effect where appropriate.
Changes will not retrospectively remove an expressly agreed Founding price lock while the qualifying membership remains continuously active, except where a change is required by law.
29. TRANSFER OF RIGHTS
You may not transfer your membership or your rights under these Terms to another person or business without our prior agreement.
We may transfer our rights and obligations under these Terms as part of a sale, transfer or reorganisation of Super Directories or its business, provided that doing so does not materially reduce your contractual rights.
30. SEVERABILITY
If any provision of these Terms is found by a court or other competent authority to be unlawful or unenforceable, the remaining provisions will continue in effect.
31. NO WAIVER
If we do not immediately enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.
32. ENTIRE AGREEMENT
These Terms, together with any membership information presented to you at the point of purchase and any policies expressly incorporated into these Terms, form the agreement between you and Super Directories in relation to the relevant service.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
33. THIRD-PARTY RIGHTS
Unless expressly stated otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of them.
34. GOVERNING LAW & JURISDICTION
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
Where you are acting in the course of a business, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms, subject to any mandatory legal rights that apply.
